TERMS & CONDITIONS
Our terms and conditions explain what you need to know when you enter into a contract with us to provide architectural, project management, or planning advice services.
Our terms and conditions are private and confidential in nature, and are typically only disclosed to clients who have officially instructed us to act on their behalf. We therefore recommend that you read the following section. It provides a general overview of some of our conditions, based on standard JCT contract documentation and RIBA guidelines where applicable.
Duty of Care
Parsons & Whittley will exercise reasonable skill and care in order to conform with the normal standards and operating practices of the architect's profession.
Architect's Authority
Parsons & Whittley will act on behalf of the client in the matters set out or implied in our appointment, and we will obtain the authority of the client before initiating any service or stage of work.
Contractors, Sub-contractors and Suppliers
If the services of a specialist contractor, sub-contractor or supplier are required on a project, they may be nominated by either Parsons & Whittley, or the client, subject to acceptance by both parties.
The client will hold such contractor, sub-contractor or supplier, and not Parsons & Whittley, responsible for the competence, proper execution and performance of the work thereby entrusting to that contractor, sub-contractor or supplier.
Parsons & Whittley will have the authority to co-ordinate and integrate the work of sub-contractors into the overall design.
The client will employ a contractor under separate agreement to undertake construction or other works. The client will hold the contractor, and not Parsons & Whittley responsible for the contractor's operational methods, and for the proper execution of the works.
Site Inspection
Where site inspection is to be provided as part of the services by Parsons & Whittley, the appointed architect or project manager will visit the site at intervals appropriate to the stage of construction, to inspect the progress and quality of the works, and to determine that they are being executed generally in accordance with the contract documents. The architect or project manager will not be required to visit the site every day, but will make site inspections when necessary.
Copyright
All documents and drawings prepared by Parsons & Whittley, and any works executed from those documents and drawings shall, unless otherwise agreed, remain the property of Parsons & Whittley.
Suspension and Termination of Contract
The client has the right to suspend any or all of the agreed services performed by Parsons & Whittley, provided that notice is given in writing. Similarly, either the client or Parsons & Whittley can terminate the contract agreement at any time, provided reasonable notice has been given to both parties in writing, that all disputes have been settled, and that any fees owed to Parsons & Whittley have been paid in full.
